Terms & Conditions

These Terms & Conditions (“Terms”) govern all enquiries, quotations, sampling, and manufacturing services provided by KOI Pouch (“we”, “our”, “us”).
By placing an order, requesting a quotation, or submitting project details, you (“the client”) agree to be bound by these Terms.

1. Quotations & Pricing

  1. All quotations are based on the client’s specifications, including size, material, colour, logo finishing, and quantity.

  2. Prices may vary if the client changes any specification after the quotation is issued.

  3. Quotations are valid for 15 days unless stated otherwise.

2. Deposits & Payment Terms

To begin sampling or production, the following payment structure applies:

2.1 Samples

  • Photo/video samples: free of charge.

  • Physical samples: shipping costs are borne by the client.

2.2 Production Orders & Payment Terms

  • 30% deposit is required before production begins.

  • 70% balance is required after production is completed and before shipment.

  • Production will not begin until the deposit is received.

  • Shipment will not be arranged until the final payment is received.

2.3 Non-Refundable Deposit

The 30% deposit is non-refundable because:

  • All products are custom-made specifically for the client;

  • Materials and labour are allocated immediately after deposit;

  • Custom manufacturing cannot be resold or reused.

The client understands and agrees that orders cannot be cancelled once production has started.

3. Order Changes & Cancellations

  1. Any changes to size, material, colour, logo, or quantity must be submitted before production begins.

  2. Once production begins, no changes or cancellations are allowed.

  3. If the client insists on cancellation after production has started, 100% of the order value remains payable.

This protects us from manufacturing losses and wasted material.

4. Production Timeline

  1. Production time depends on quantity, material availability, and complexity.

  2. Timelines provided are estimates and may change due to:

    • Material sourcing conditions

    • Client approval delays

    • Logistics delays outside our control

  3. We are not responsible for delays caused by late client responses or specification changes.

5. Client Responsibilities

The client is responsible for:

  • Providing accurate design specifications

  • Supplying correct logo files

  • Approving samples promptly

  • Ensuring shipping information is accurate

  • Paying all applicable taxes, customs duties, and import fees

We are not liable for any losses caused by inaccurate client information.

6. Quality Assurance

  1. We perform internal quality checks before shipment.

  2. Minor variations in colour, texture, or stitching may occur due to manual production processes and are considered normal.

  3. The client must report any major quality issues within 7 days of receiving the goods.

  4. Claims require photo/video evidence.

7. Shipping & Delivery

  1. Shipping arrangements begin only after the final 70% balance is fully paid.

  2. Once goods are handed to the shipping carrier, risk transfers to the client.

  3. We are not responsible for:

    • Delays caused by customs or carriers

    • Loss or damage during shipping

    • Import restrictions or duties

The client is responsible for all customs clearance and import taxes.

8. Intellectual Property

  1. All designs, logos, and artwork provided by the client remain the client’s responsibility.

  2. The client confirms they have the rights to use any provided logos or designs.

  3. We are not liable for any copyright or trademark disputes arising from client-provided artwork.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages.

  • Our liability is limited to the amount the client paid for the relevant order.

10. Governing Law

These Terms are governed by the laws applicable in your jurisdiction unless otherwise stated.
Any disputes shall be resolved through negotiation, and if necessary, arbitration or a competent court of law.

11. Acceptance of Terms

By submitting a project, placing an order, or paying a deposit, the client acknowledges that they fully understand and agree to these Terms & Conditions.

  1. Changes to terms

We may update these Terms at any time. Continued use of the site after changes are posted constitutes your agreement to the updated terms.
